Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern access to and use of SoundPulse (the “Service”), provided by Embedded Finances, S.L. (trade name: CRUWI), NIF B10852952, registered at Calle Álamos nº7, planta 1, 29012 Málaga, Spain (“we”, “us”, or “Company”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

SoundPulse helps music teams track social performance of songs across platforms such as TikTok, Instagram Reels, and YouTube Shorts. Features may include song import, metrics dashboards, team collaboration, and related analytics tools.

We may update, modify, or discontinue features at any time. We will use reasonable efforts to notify users of material changes that affect core functionality.

3. Eligibility and accounts

• You must be at least 16 years old and able to enter a binding contract.
• You must provide accurate registration information and keep your credentials confidential.
• You are responsible for all activity under your account, including actions by team members you invite.
• You must notify us promptly at hello@cruwi.com if you suspect unauthorized access.

4. Acceptable use

You agree not to:

• Use the Service for unlawful purposes or in violation of third-party rights
• Attempt to gain unauthorized access to systems, data, or accounts
• Scrape, reverse engineer, or overload the Service except as permitted by law
• Upload malicious code or interfere with the Service's operation
• Misrepresent your identity or affiliation

We may suspend or terminate access if we reasonably believe you have breached these Terms.

5. Third-party platforms and data

The Service may retrieve or display data from third-party platforms and data providers (including social networks and Chartmetric). Your use of such data remains subject to those third parties' terms and policies. We do not control and are not responsible for third-party platform availability, accuracy, or policy changes.

6. Intellectual property

We retain all rights in the Service, software, branding, and content we provide. You retain ownership of your catalog data and content you submit. You grant us a limited license to host, process, and display your data solely to provide and improve the Service.

7. Fees

Certain plans may be offered free of charge during beta or promotional periods. If paid plans are introduced, pricing and billing terms will be communicated separately and must be accepted before charges apply.

8. Privacy

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Analytics and metrics are provided for informational purposes. We do not guarantee accuracy, completeness, or suitability for commercial, legal, or chart-reporting decisions.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL.

Our total aggregate liability arising from or related to the Service shall not exceed the greater of (a) the amounts paid by you to us in the twelve (12) months preceding the claim, or (b) one hundred euros (€100), except where liability cannot be limited under mandatory law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your account for breach of these Terms, legal requirements, or prolonged inactivity, with notice where reasonable.

Upon termination, your right to access the Service ceases. Provisions that by nature should survive (including liability limitations, IP, and governing law) will remain in effect.

12. Governing law and jurisdiction

These Terms are governed by the laws of Spain. Unless mandatory consumer protection rules require otherwise, the courts of Málaga (Spain) shall have exclusive jurisdiction over disputes arising from these Terms.

13. Changes to these Terms

We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date. Material changes may be notified by email or in-app notice. Continued use after the effective date constitutes acceptance where permitted by law.
